Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Rouchat Inc, a Delaware corporation ("Rou", "we", "us"). They govern your access to and use of the Rou browser extension, the website at rouchat.com, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be the age of majority in your jurisdiction to use the Service (at least 18 in most places). By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Description of the service

Rou is an AI co-pilot and relationship CRM that runs inside WhatsApp Web as a Chrome or Chromium browser extension. It helps you remember context across chats, draft thoughtful replies, summarize conversations, and follow up at the right time. Account management, billing, and settings live at rouchat.com.

Rou is an independent product and is not affiliated with, endorsed by, or sponsored by WhatsApp LLC or Meta Platforms, Inc. "WhatsApp" is a trademark of its respective owner.

3. Accounts

You agree to provide accurate, current, and complete information when you create your account and to keep it up to date. You are responsible for all activity that occurs under your account and for keeping your sign-in email and any session credentials secure. Notify us promptly at rou@rouchat.com if you believe your account has been compromised.

4. Subscriptions and billing

Rou offers the following commercial terms:

• Plans. Free, Pro, and Max tiers with different included credit allowances and features.
• Free trial. A 3-day free trial is available, with no card required to begin.
• Billing cycles. Paid plans are available on a monthly or yearly basis.
• Top-ups. Credit top-up packs are available for purchase and do not expire.
• Auto-renewal. Subscriptions renew automatically at the end of each billing period until cancelled.
• Cancellation. You may cancel at any time from your account. Cancellation takes effect at the end of the current paid period; you keep access until that date.
• Refunds. Except where required by applicable law, fees are non-refundable and we do not provide refunds or credits for partial billing periods.
• Price changes. We may change prices for future billing periods with reasonable advance notice. If you do not agree to the new price, you may cancel before it takes effect.
• Taxes. Prices may be exclusive of taxes; applicable taxes will be added at checkout where required by law.
• Payment processor. All payments are processed by Stripe and are subject to Stripe's terms.

5. Acceptable use

You agree to use the Service lawfully and responsibly. In particular, you agree:

• To comply with WhatsApp's own Terms of Service when you use Rou inside WhatsApp Web.
• Not to engage in bulk, spam, or mass unsolicited messaging. Rou is built for genuine one-to-one relationships and bulk-blasting is strictly prohibited.
• Not to harass, threaten, defame, or send illegal content; not to send content that exploits or endangers minors.
• Not to reverse engineer, decompile, scrape, abuse, or attempt to disrupt the Service or its infrastructure, and not to circumvent rate limits or credit metering.
• To comply with all applicable messaging, marketing, consent, and privacy laws (for example TCPA, CAN-SPAM, GDPR, ePrivacy, and your local equivalents). You are responsible for having any consent required to contact the people you message.

We may suspend or terminate accounts that violate this section, with or without notice where appropriate.

6. AI output disclaimer

Drafts, summaries, translations, and other AI outputs produced by the Service are generated by an AI model and may be inaccurate, incomplete, biased, or otherwise unsuitable for your situation. Rou drafts; you control sending. You are solely responsible for reviewing AI output and for anything you choose to send, share, or otherwise act on. Do not rely on AI output for legal, medical, financial, or other professional advice.

7. Third-party platform risk

The Service operates on top of WhatsApp Web, which Rou does not control. Using automation in connection with WhatsApp may carry risk to your WhatsApp account, including the possibility of rate limits, warnings, suspension, or banning. Rou paces messages to reduce this risk but cannot guarantee that your WhatsApp account will not be limited or restricted by WhatsApp. You acknowledge and assume that risk.

8. Intellectual property

The Service, including the extension, website, software, design, and content we provide, is owned by Rouchat Inc and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes.

You retain all rights to the content you create, store, or send through the Service ("Your Content"). You grant us a limited license to host and process Your Content only as needed to operate the Service for you. We do not use Your Content to train AI models.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any AI output will be accurate.

10. Limitation of liability

To the maximum extent permitted by law, Rouchat Inc and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to the Service.

Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Rouchat Inc and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) Your Content, (c) your violation of these Terms or any applicable law, or (d) your violation of any third-party right, including WhatsApp's terms or the rights of the people you message.

12. Termination

You may stop using the Service and close your account at any time from your account settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, used the Service in a way that could harm us or other users, or where required by law.

On termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Before filing any formal claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting rou@rouchat.com and allowing at least thirty (30) days to negotiate a resolution. If the dispute is not resolved, the parties agree that the state and federal courts located in Delaware will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue in those courts.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
